Terms of Service

1. Acceptance

By creating an account or using ERP (the "Service"), you agree to these Terms of Service ("Terms"). If you don't agree, don't use the Service. If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The service

ERP is a cloud-based, multi-tenant Enterprise Resource Planning and Point-of-Sale platform. We provide each customer ("you") with a private workspace (a subdomain like yourname.qrdpro.com) containing tools for sales, inventory, accounting, banking, tax compliance, and reporting.

We may update, add, remove, or change features at any time. We'll give reasonable advance notice for significant changes that affect your daily use.

3. Your account

To use ERP you must:

• Provide accurate, current, and complete information during signup;
• Keep your password and access credentials confidential;
• Be at least 18 years old or have authority from your business owner;
• Notify us immediately at contact{{ $host }} of any unauthorised use of your account.

You are responsible for all activity that happens under your account, including any users you invite into your workspace.

4. Free trial

New workspaces receive a free trial period (currently 30 days, may vary by plan). During the trial you have full access to the features of the plan you selected. No credit card is required to start.

At the end of the trial:

• If you subscribe to a paid plan, your workspace continues uninterrupted;
• If you don't subscribe, your workspace becomes read-only for 30 days, after which the data is securely deleted unless you request an export.

5. Subscriptions & billing

Pricing. Current pricing is displayed on our pricing page. We display prices in Pakistani Rupees (PKR). Prices are exclusive of any applicable taxes (e.g. GST).

Billing cycle. Subscriptions renew automatically each month or year (depending on your selected term). You can change or cancel your plan at any time from your billing page.

Payment methods. We currently accept manual bank deposit and select payment gateways. Payment methods may be added or removed.

Late payment. If a payment fails or you fall behind, we may suspend access until payment is settled. Your data remains intact during suspension.

Price changes. We may change prices with at least 30 days' notice. Changes apply at your next renewal — never mid-cycle.

6. Acceptable use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any law in Pakistan or other applicable jurisdiction;
• Resell, sublicense, or make the Service available to third parties as a service of your own;
• Attempt to reverse-engineer, decompile, or extract our source code;
• Send spam, phishing emails, malware, or other harmful content through the Service;
• Upload content that infringes third-party intellectual property rights;
• Probe, scan, or test the security of the Service without prior written consent;
• Use the Service to track, profile, or surveil individuals in violation of applicable privacy laws.

Violations may result in suspension or termination without refund.

7. Your data & ownership

You own your data. Anything you upload, enter, or generate inside your workspace — customer records, invoices, accounting entries, product catalogs, etc. — remains your property. We do not claim any ownership.

License to operate. You grant us a limited license to host, transmit, back up, and display your data only to operate the Service and provide support. We do not sell or share your data with third parties for marketing.

Export. You can export your data at any time via the in-app export tools. On request, we'll provide a one-time SQL dump for an active or recently closed workspace within 14 days.

8. Intellectual property

The Service — including software, design, documentation, trademarks, and templates — is owned by us and protected by intellectual property laws. These Terms grant you a non-exclusive, non-transferable license to use the Service during your subscription, not ownership of the Service itself.

9. Disclaimers

The Service is provided "as is" and "as available". We don't guarantee:

• That the Service will be uninterrupted or error-free;
• That it will meet your specific requirements or business goals;
• That backups will always be restorable (we work hard to ensure they are, but cannot warrant against all forms of data loss).

You're responsible for your own compliance with tax, labor, and other regulations. ERP provides tools to help, not professional accounting or legal advice.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Service is limited to the fees you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost data, business interruption, or goodwill loss — even if we were advised of the possibility.

11. Indemnification

You agree to defend and indemnify us against any third-party claim arising from:

• Your use of the Service;
• Your violation of these Terms;
• Your violation of any third-party rights;
• Content you upload to your workspace.

12. Termination

By you. Cancel anytime from the billing page. You retain access for the remainder of your paid period. After cancellation, your data is kept read-only for 30 days, then securely deleted.

By us. We may suspend or terminate your account for material breach of these Terms, with reasonable notice except in cases of fraud, abuse, or legal compulsion. We'll provide a data export before deletion.

13. Governing law

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any dispute will be resolved exclusively in the courts of Lahore, Punjab, Pakistan (or such other Pakistani jurisdiction as we may specify with notice).

14. Changes to these terms

We may update these Terms periodically. Material changes take effect 30 days after we notify you (by email or in-app notice). Continued use of the Service after the change date constitutes acceptance.
